Francis Galbally

LLB (Hons) - Chairman
Mr Francis Galbally has over 35 years’ experience in international business and commercial law. He is a graduate (first-class honours) in Law at Melbourne University and worked in professional legal practice for 19 years, specialising in business law. He was a partner in the leading law firm Galbally & O’Bryan during which time he successfully led a number of landmark commercial litigation cases. He left the law and engaged in business in 1995.

As a leading corporate lawyer and litigator Mr Galbally was responsible for recovering more than $1 billion in investor funds ($1 for $1) lost as a result of the major corporate failures (Pyramid Building Societies, Estate Mortgage Trusts) in the early 1990s. He is a member of the Australian Institute of Company Directors.

Mr Galbally is an investor and corporate advisor and is the sole shareholder and chairman of Southbank Capital.

In his role as a corporate advisor, Mr Galbally has been engaged in the restructuring of many Australian small caps publicly listed companies. He has an extensive global business network and has acted as an advisor to local and overseas government agencies and business enterprises. These include the Italian Government-owned Finsida Industrial Group.

Mr Galbally has had significant interests in the property and construction industry including chairing the publicly listed Berela Constructions Ltd and Bestway Holdings Ltd in the 1990s. He has built hotels in Australia, Indonesia and China.

Mr Galbally is the founder, substantial shareholder and Chairman of Senetas Corporation Ltd, ASX: SEN).  Senetas is a leading developer of network data encryption solutions for enterprise, government, defence and technology service providers. From certified high-assurance encryption hardware and virtualised encryption to the most secure file sharing application providing data sovereignty control.

Senetas’ technology is deployed across more than 40 countries and has been trusted to protect much of the world’s most sensitive information for nearly 20 years. They are used to protect everything from government and defence data and secrets to intellectual property and business data, to financial transactions, CCTV networks, SCADA critical infrastructure control systems and citizen identities.

Mr Galbally is the Victorian convenor of the Constitution Education Fund of Australia – a non-political charity dedicated to advancing knowledge of the Australian constitution within the community. He is also a board member of the Cabrini Hospital Foundation based in Melbourne Australia.

Mr Galbally currently also sits on the board of the following operating businesses:

1. Votiro Cybersec Global Ltd. Votiro is an Israeli founded company and pioneer in CDR technology that allows users to safely open email attachments, download and transfer files, share content, and use removable media while keeping performance and functionality intact. With over 500 customers globally, Votiro has offices in the US, Singapore, Australia, and Israel.

2. VDL Gold Pty Ltd, a gold exploration company operating in central Victoria.

Tim Joseph Langdon

Executive Director

A senior commercial executive with a broad focus crossing a number of industries including – banking & finance, capital markets, media and the environment.

Tim’s career has spanned roles at Southbank Capital, NAB, British Petroleum Finance Australia, Bank of America, Banque Indosuez & HSBC – specialising in Treasury.

Tim has international experience in blockchain and cryptocurrency assets and was involved in assisting 8i Group, Singapore with their SPAC and listing of The First Full Digital Asset Ecosystem listed on Nasdaq- Diginex Ltd code: EQOS. Tim was also involved in cryptocurrency roadshows for clients of Southbank Capital, Melbourne.

Tim has a Bachelor of Economics, an MBA and a Diploma Financial Services. Tim is an FTA Certified Treasury Professional – https://financetreasury.com.au and he is a Fellow of the Institute of Managers and Leaders (Australia / New Zealand) – https://managersandleaders.com.au. Tim is a member of the Australian Corporate Treasury Association. Tim is also an Industry Mentor for RMIT University – Melbourne Campus.

Dr. Kong Yew Wong

Economist Dr. Wong K.Y (1974), Group CEO of D’Mace Pty Ltd, President and Founder of MyBeauty Advisor (Singapore), is a Distinguish Scholar and Corporate Leader. He is Director to E-Plus Limited (a PLC in National Stock Exchange of Australia), Independent Director at Watermark Ltd. and Advisor to 8i Acquisition Corp. (both are PLC at Nasdaq, USA).

He was lead consultant in a number of projects with ASEAN and UNWTO, and was CEO and Executive Director to Stonemaster Corporation, a main board PLC in Kuala Lumpur Stock Exchange. He is now an appointed leader of a national initiative, MyBeauty Tourism, a public-private partnership program by the Ministry of Tourism Malaysia to promote beauty tourism worldwide. Dr. Wong obtained his Ph.D. (2004) from the Scottish Hotel School, University of Strathclyde in the UK, and pursued his Postdoctoral study at China, Peking University (2006). He studied Economics at Western Michigan University (BBA, 1996) and University Putra Malaysia (M.Econ, 1999). His last academic posting was with PUTRA Business School, UPM (2016), specialize in Tourism FDI, Industrial Development and Multinational Corporation strategy.

Dr. Wong has over 10 years of active involvement (2004-2016) as economic policy and planning consultant to the government both in Malaysia, SEA nations and China. He also establish and served as 1st President (2010-2012) NKEA-EPP10, an Economic Transformation Programme under the Malaysia’s Prime Minister Office. Where the EPP is rated as one of the most successful national programme and have received Certificate of Commendation from The Prime Minister of Malaysia.Dr. Wong is a Permanent Residence of Australia with a Distinguished Global Talent Visa status (2021).

Kellie Tyson

Kellie has twenty years’ experience in corporate, administrative and financial roles. Her experience ranges from General Manager Australia for a multi national software company, providing company secretarial for listed and unlisted companies, dealing with regulators including ASX, ASIC and ATO, leading a teams providing corporate support in, inter alia, human resource functions, including:

Recruitment, staffing, training and professional development, performance management, employee safety and health and wellbeing, which have set and maintained the company value and managing the financial administration of companies.

Kellie has been Southbank’s financial manager since its inception.

Warren David Sinclair

FIPA FFA (UK) FAICD

Warren started his business life in the accounting profession where he worked for several years specialising in business structuring, taxation, superannuation and financing of real estate projects. From here he moved into Mergers and Acquisitions has assisted with a number of IPO’s and reverse takeovers.

Warren started developing property in the early 1980s and was involved in the pioneering of Strata titled resort hotels in Queensland. Warren listed his property development business on the ASX inviting Francis Galbally to the role of Chairman. The business was rebranded and significant Asian funding obtained to target potential China and Singapore property and hotel opportunities.

Warren sold his interests in the listed entity and moved into a consulting role with a Private Equity and Management Consulting group advising on and project managing a number of strategic acquisitions and business turn arounds. He was then headhunted by a UK PLC active in the B2B Internet space, he moved to the UK and joined the company as group CEO growing its global business.

He was later to return to the UK as Group Executive Chairman for an Australian Telecoms business where he established the companies UK operations and resided for several years. Warren remains Non-Executive Chairman of this group advising them on strategy and governance.

Warren currently is an executive of an Australia tech company with patents on its technology in both Australia and the USA. Warren has extensive experience in working with a wide range of financing and capital raising products and strategies.
